Terms of Service

Effective date: January 1, 2026

These Terms of Service ("Terms") govern your access to and use of the ShipSilently website and platform (collectively, the "Service") operated by ShipSilently Inc. ("ShipSilently", "we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. If you are using the Service on behalf of an organization, your acceptance of these Terms binds that organization.

2. Description of Service

ShipSilently provides a feature flag management platform that enables software development teams to control the release of features in their applications through a dashboard, REST API, and software development kits (SDKs). The Service is provided on a subscription basis and as described on our Pricing page.

3. Account Registration

To access the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activities that occur under your account

We reserve the right to terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right
  • Upload or transmit malware, viruses, or any harmful code
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Conduct denial-of-service attacks or abuse API rate limits
  • Reverse engineer, decompile, or disassemble any component of the Service
  • Resell or white-label the Service without explicit written permission
  • Use the Service for any unlawful, fraudulent, or abusive purpose

5. Subscriptions and Payment

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to:

  • Pay the applicable fees as described on our Pricing page
  • Provide and maintain valid payment information
  • Authorize us to charge your payment method on a recurring basis

All fees are non-refundable except as required by law or as expressly stated in these Terms. We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new price.

6. Free Tier and Trials

We may offer a free tier or free trial of paid features. Free tiers are subject to usage limits as described on our Pricing page. We reserve the right to modify or discontinue free tiers at any time with reasonable notice.

7. Intellectual Property

ShipSilently and its licensors own all intellectual property rights in the Service, including the software, APIs, SDKs, documentation, trademarks, and content. These Terms do not grant you any rights to ShipSilently's intellectual property except for the limited license to use the Service as described herein.

You retain ownership of any data you submit to the Service ("Customer Data"). You grant ShipSilently a limited license to process Customer Data as necessary to provide the Service.

8. Data and Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Uptime and Service Level

We strive to maintain high availability of the Service. For Enterprise customers, uptime commitments are defined in a separate Service Level Agreement (SLA). For Hobby and Pro customers, we target 99.9% monthly uptime but do not guarantee it. Scheduled maintenance will be announced in advance where practical.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPSILENTLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF SHIPSILENTLY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SHIPSILENTLY'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO SHIPSILENTLY IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless ShipSilently and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

13. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in the dashboard. We may suspend or terminate your access to the Service at any time if you violate these Terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitations of liability.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to the exclusive jurisdiction of those courts.

15. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by email or by posting an updated version on the Service. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of the changes.
